Terms and Conditions

1. General principles

The present General Terms and Conditions of Sale are intended to govern all sales of products and all services associated with these sales made by Proteclight, in mainland France and Corsica to persons acting in the context of their professional activity.
Any order placed with Proteclight necessarily implies, as an essential and determining condition, the Customer's unreserved acceptance of the Conditions in force on the day of the order concerned.
By the same token, the Client expressly renounces all of its purchasing conditions or any other commercial document, unless Proteclight has previously and expressly accepted them.
In addition, the Client declares that the acceptance of the Conditions will lead to their application to the order to which they relate as well as to any subsequent order, unless new conditions are brought to its attention. The fact that Proteclight does not avail itself of any of the Conditions at a given moment cannot be interpreted as a waiver of the right to avail itself of them for the future or the past.
Applicable law and competent jurisdiction: the interpretation and execution of the Conditions as well as all the acts that will be the consequence thereof, will be subject to French law.

2. Order processing

As soon as the order has been registered, the Buyer will receive, by e-mail, a confirmation of the order with an indication of the prices and availability of the products ordered. Unless otherwise specified by the Buyer, the products, packaging, prices and conditions mentioned on the Proteclight document will remain the only contractual ones.
The packaging of each Proteclight product is proportional to the price indicated on the Proteclight website. Any change in this packaging will automatically lead to a change in its price.
The products for sale are those appearing on the Proteclight website, which reserves the right to modify the range of products at any time. The characteristics, dimensions, weight, photos, graphic representations specified in these publications are only indicative. Proteclight reserves the right to replace the product referred to in the order even after receipt of the latter without however the essential characteristics of the product in question being affected.

3. Prices

All prices indicated on Proteclight publications are in Euros, exclusive of tax and including VAT, for delivery in Metropolitan France.
The prices mentioned on the website and other promotional documents are provided for information purposes only.
Discounts granted to the Buyer will not necessarily apply in the event of subsequent price reductions. Discounts may only be used in conjunction with other sales promotions or discount offers with the Supplier's agreement.

4. Terms and conditions of delivery

Delivery time :
Delivery times and, where applicable, the execution time of the associated services are specified in the offer or at the time of the order. Penalties for delay are excluded.
Proteclight's order confirmation will indicate to the Buyer which items are out of stock. A partial delivery of the order can be envisaged on simple request of the Buyer.
In case of payment by cheque, the delivery can only take place 10 days after receipt of the cheque. 

Articles and services out of catalogue:
All articles and services out of catalogue will be the subject of a quotation or a specific agreement with indication of the foreseeable delivery time.

Delivery charges :
Delivery costs correspond to the actual costs of our various carriers.

5. Title of ownership

In accordance with the law, the transfer of risk takes place upon dispatch. The goods ordered travel at the risk of the recipient, regardless of the method of shipment.
"Satisfied or reimbursed", conditions for reimbursement of an item delivered. If the Buyer changes his mind or makes a mistake, he has 14 days after receipt of his order to return the unsuitable product, postage paid, in its original packaging in new condition.
Only items listed on the Proteclight website that are still valid can benefit from a refund. This provision does not apply to personalised items, out of catalogue or ordered at the express request of the Buyer.
No return will be accepted without the prior agreement of our customer service department.

If the returned product was not in its original condition, Proteclight reserves the right to apply a discount on the refund according to the following rules:
if the original packaging is damaged, the product will only be refunded at 50% of its value,
if the product proves to be unusable, it will not be subject to any refund.

6. Transportation claims

No complaint will be accepted if it is not made to our Customer Service at +33 4 82 83 96 69.
It is up to the Buyer to provide any justification to this effect.
In accordance with article 133-3 of the French Commercial Code, it is the responsibility of the Buyer to check his delivery.

In case of damage or missing package, it is the responsibility of the Buyer to make all the necessary precise and detailed observations (article concerned, type of damage noted etc.) on the transport voucher in the presence of the deliveryman, then to confirm them in writing, to Proteclight, sent by registered mail or at least by email to the following email address: contact@proteclight.com and this, within a maximum period of 48 hours.
It is up to the Buyer to check that the parcel received still has the guarantee strip (Proteclight white scotch tape) which assures him that the parcel has not been opened or repackaged.
Important: without respecting this procedure, Proteclight, reserves the right to refuse any compensation or replacement of defective goods. It is sometimes preferable in case of doubt, to refuse the package than to accept it without indicating the appropriate reservations.

7. Payment

Unless expressly agreed by the company, payment is due with the order. Payment may be made by cheque, bank transfer, credit card, administrative mandate, Paypal. 

8. Guarantee

In accordance with the regulations in force, any sale of products is subject to the legal guarantees and more specifically to the guarantee of hidden defects as defined in articles 1641 and following of the Civil Code.
More specifically, the Peli lighting range, namely, flashlights, headlamps, intervention headlamps, benefit from the Peli guarantee of excellence.
Unless specifically agreed by Proteclight, transport costs for the return and reshipment of the product are the responsibility of the Customer.

9. Responsibility

Unless mandatory legal provisions to the contrary exist:
- the responsibility of Proteclight can only be engaged on proven and exclusive fault in the realization of the damage;

- Proteclight shall in no event be held liable to the Client for any indirect damage such as commercial prejudice or disturbance, loss of customers, loss of profits, loss of brand image or loss of data;

10. Promotional gifts

Eligibility for promotional gifts and promotions is based on the net order and excludes VAT and delivery charges. Offer valid only while stocks last. Only one promotional gift may be required per order or per customer. We reserve the right to withdraw the offer at any time. Promotional gifts have no cash consideration. We reserve the right to offer other gifts of equal or greater value if the item advertised is no longer available.

For the avoidance of doubt, all promotional gifts will be the property of the acquiring company and not its employees or representatives. The Purchaser agrees to cooperate with the Supplier to ensure compliance with the Supplier's gift policy by the Purchaser's employees and other representatives. Before delivering promotional gifts, we may request written confirmation from an appropriate representative of the purchaser that the purchaser will comply with our promotional gifts policy.

11. Force Majeure

The parties shall not be held liable for a breach of any of their obligations in the event of the occurrence of an event of force majeure as defined in the Civil Code. Force majeure includes the following events in particular: fire, interruption of computer and telecommunications systems, incidents or transport failures, strikes, blockouts, bans or embargoes on imports or exports. 

12. Information technology and freedom

Any order placement gives rise to the establishment of an automated file in accordance with the provisions of the law "Informatique et Libertés" of 6 January 1978 on behalf of the company Proteclight.

The collection of information is essential for order processing and invoicing. Otherwise the order cannot be validated. A right of access and rectification of information concerning the customer can be exercised by the latter by writing to the following address:
